This End-User License Agreement (the "EULA") is a legal
agreement between an individual or a single entity (hereinafter,
referred to as the "User") and the company Ivan Labs OOD having a
registered business address at Opalchenska str. 27, 9000 Varna,
Bulgaria (hereinafter, referred to as the "Licensor") for the
software product DebugWave (hereinafter, referred to as
"DEBUGWAVE"), which includes: (1) the end-user software utility
related to the technology described in Section 1 of the EULA and
(2) the associated documentation (hereinafter, the User and the
Licensor are sometimes collectively referred to as the "Parties"
and each individually a "Party").
BY INSTALLING, COPYING, OR OTHERWISE USING DEBUGWAVE, THE
USER AGREES TO BE BOUND BY THE TERMS OF THIS EULA.
1. About DebugWave
DEBUGWAVE is an end-user software utility developed on
the basis of technology that supports a debug server and a flash
programmer for STM32 microcontrollers and a programming interface
(API) to the debugging and programming technology for original
equipment manufacturers (OEMs).
DEBUGWAVE is developed solely by the Licensor and the
Licensor holds all ownership rights, including the intellectual
property rights, to DEBUGWAVE.
DEBUGWAVE is provided free of charge.
2. Grant of license
Subject to the terms and conditions of this EULA, the
Licensor hereby grants the User a non-exclusive,
non-transferable, revocable license to install and use DEBUGWAVE
(hereinafter, referred to as the "License") for commercial and
DEBUGWAVE is licensed, not sold.

User has access to DEBUGWAVE and the access to DEBUGWAVE is made
available by the Licensor, unless the License is terminated
pursuant to this EULA.
3. Redistribution of DebugWave
The redistribution of copies of DEBUGWAVE is permitted
for developing third party products for commercial and
non-commercial purposes, provided that:
DEBUGWAVE is distributed in its original form only,
namely, in an unmodified installer or package;

<https://www.debugwave.com/brand> is provided in the
documentation of the third-party product developed as a result of
the redistribution of DEBUGWAVE;
The copyright notice "Copyright © 2018
Ivan Labs OOD." is provided in each redistributed copy of
The Licensor is exempted from any liability arising out
of the redistributed copies of DEBUGWAVE.
The User is not entitled to undertake, cause, permit or
authorize the modification, creation of derivative works,
translation, reverse engineering, decompiling, disassembling,
hacking, or investigation in any manner of DEBUGWAVE, or any part
thereof except to the extent permitted by law.
DEBUGWAVE is licensed as a single product. Its component
parts may not be used separately.
With an exception of the redistribution right specified
in Section 3 of the EULA, the User is not allowed to sell, rent,
lease, loan, distribute, export, import, act as an intermediary
or provider, or grant any kind of the rights of the License to
third parties with regard to DEBUGWAVE or any portions thereof.
The User may not transfer User's rights under this EULA.
The User must use DEBUGWAVE on a computing device that is
fully compatible with DEBUGWAVE. It is User's sole responsibility
to assess the compatibility of User's computing device before
DEBUGWAVE must not be used to develop and produce
products and technologies competing with DEBUGWAVE in the field
of debugging and programming technology.
5. Evaluation of DebugWave
It is User's sole responsibility to verify and assess the
suitability, validity and integrity of DEBUGWAVE prior to using
it and to decide whether or not DEBUGWAVE fits for the intended
6. Intellectual property rights
All title and copyrights in and to DEBUGWAVE (including,
but not limited to, any source code, images, photographs,
animations, video, audio, music, text, and applets, incorporated
into DEBUGWAVE) and any copies of DEBUGWAVE are owned by the
Licensor or its suppliers. DEBUGWAVE is protected by the
Bulgarian copyright laws and international treaty provisions.
The Licensor has made all efforts possible to avoid
DEBUGWAVE being subject to the rights of third parties, in
particular that its use does not infringe patents, copyrights or
other intellectual property rights of third parties.
However, the Licensor does not guarantee that DEBUGWAVE is not
subject to the rights of third parties.
The User shall notify the Licensor immediately and in writing if
any third party should assert an infringement claim against the
User in connection with DEBUGWAVE.
7. Updates and support services
The Licensor reserves the right, but is not under any
obligation, to provide free-of-charge updates and technical
support services with regard to DEBUGWAVE, including the
possibility to download new versions of DEBUGWAVE.
Without prejudice to any other rights, the Licensor may
terminate this EULA if the User fails to comply with the terms
and conditions of this EULA.
In such event, the User must destroy all copies of DEBUGWAVE and
all of its component parts.
This EULA will automatically terminate upon the User's
cessation to use DEBUGWAVE and erasure of DEBUGWAVE from User's
In case of termination of this EULA, the User shall cease
accessing and using DEBUGWAVE.
9. Disclaimer of warranty
To the extent permitted by the applicable law, the
Licensor expressly disclaims all warranties, express or implied,
for DEBUGWAVE. DEBUGWAVE and any related documentation is
provided "AS IS" without warranty of any kind, either express or
implied, including, without limitation, the implied warranties of
merchantability, fitness for a particular purpose, or
non-infringement. The entire risk arising out of use or
performance of DEBUGWAVE remains with the User.
10. Restriction of liability
In no event shall the Licensor be liable for any damages
whatsoever (including, without limitation, damages for loss of
business profits, business interruption, loss of business
information, or any other pecuniary loss) arising out of the use
of or inability to use DEBUGWAVE, even if the Licensor has been
advised of the possibility of such damages.
11. Governing law
This EULA shall be read, construed and take effect in
accordance with the laws of Bulgaria and the Parties hereto
expressly agree to submit to the exclusive jurisdiction of the
courts in Bulgaria.
A failure of a Party to enforce strictly a provision of
this EULA shall in no event be considered a waiver of any part of
such provision. No waiver by a Party of any breach or default by
the other Party shall operate as a waiver of any succeeding
breach or other default or breach by such other Party. No waiver
shall have any effect unless it is specific, irrevocable and in
13. Entire agreement
This EULA constitutes the entire understanding between
the Parties with respect to the subject matter thereof and
supersedes all prior agreements, negotiations and discussions
between the Parties relating thereto.
The unenforceability of any single provision of this EULA
shall not affect any other provision hereof. Where such a
provision is held to be unenforceable, the Parties shall use
their best endeavors to negotiate and agree upon an enforceable
provision, which achieves to the greatest extent possible the
economic, legal and commercial objectives of the unenforceable
The Licensor reserves the right, at its sole discretion,
to change or modify this EULA at any time by posting an amended
version of the EULA at <https://www.debugwave.com/license> and by
sending a notification to the User (if the contact details of the
User are available to the Licensor). Any such change or
modification shall become effective on the date indicated at the
top of the EULA published at <https://www.debugwave.com/license>
and communicated to the User (if applicable).
The User agrees to regularly visit the aforementioned URL
to review the current terms of the EULA so that the User remains
aware of any revision to which the User is bound.
The use of DEBUGWAVE after the effective date of the
amended version of the EULA constitutes User's acceptance of the
revised EULA. Should the User not agree to abide by the revised
EULA, the User is asked to stop using DEBUGWAVE.
